Saskatchewan born and raised, Donna Caswell is an intellectual property lawyer with a background in commercial/corporate law. Ms. Caswell obtained her Bachelor of Arts and Law degrees, both with distinction, from the University of Saskatchewan in 1984 and 1988 respectively. She was called to the Saskatchewan Bar in 1989, to the British Columbia Bar in 1993, and is a registered Canadian and U.S. Trade-Mark Agent.

Ms. Caswell brings to her intellectual property practice many years of experience in corporate and commercial transactions. In her commercial/corporate practice, Ms. Caswell has represented clients in the negotiation, structuring and finalization of business acquisitions and sales, and has worked with clients and their tax advisors in creating and/or refining their business structures (ie: incorporations, roll-over agreements and trust transactions). She has also represented lenders, both institutional and private, in loan transactions and in the securitization of those loans, and, in unrelated matters, has represented the interests of the borrowers in like transactions.

The focus of Ms. Caswell’s practice began its shift to intellectual property (“IP”) approximately seven years ago. With the transition of her practice to IP, Ms. Caswell has continued to draw on her business law background in assisting her IP clients, and has found that knowledge and experience to be a valuable asset in her IP practice. She has utilized those skills in assisting her IP clients in the negotiation, drafting and closing of IP purchase and sale agreements, IP licensing agreements and manufacturing agreements. Drawing on her commercial lending experience, she has acted on behalf of corporate borrowers in loan transactions requiring the pledging of IP assets as a term thereof. Ms. Caswell’s corporate law background has also proven itself useful when she has been called upon to trace and complete IP ownership chains of title in various contexts which have included litigation support, IP purchases and sales, and the securitization of IP assets.

Ms. Caswell also enjoys working with her clients to secure protection for their trade-marks, and assisting them in developing and maintaining trade-mark usage and marking programs. On behalf of these clients, she has successfully initiated and steered trade-mark applications through both the Canadian and United States trade-mark offices thereby securing protection for her clients for the use of those trade-marks in a variety of fields including robotics, wood processing equipment, food supplements, real estate development projects, boats and clothing. Ms. Caswell also works with foreign associates to assist clients in obtaining foreign trade-mark protection as required.
